Independent inspection of binding documents.
B4USign reviews the long-form contracts Canadian small-business buyers are asked to sign. Franchise agreements. Commercial leases. Subcontracts. Employment offers. Asset purchase agreements. The documents that look standard until you read them, and then quietly set the terms of the next decade of your life.
A plain-English risk report. We take the document, extract every clause that creates a cost, restriction, or obligation, label it, rank it, and write it back to you in language a careful operator can act on. Same inspection standard across every vertical. The sample sheets show exactly what you receive.
It is not legal advice. It is the work that comes before legal advice — the part that lets you walk into a lawyer's office knowing which sections to spend the bill on, instead of paying counsel to read all 200 pages cold.
B4USign is run by Mike Stothers out of Ontario. The work draws on a background in operating small businesses, reading contracts that mattered, and getting burned by clauses that were obvious in hindsight but invisible at signing time.
We are intentionally a small operation. Reports are reviewed before they go out. If you have questions about what you received, you can reply to the email and reach a human.
Every report follows the same structure: an executive summary, a ranked list of failure points with section references, the full cost or obligation schedule across the term, a list of buyer questions to put to the counterparty in writing, and a recommended next-step sequence.
Severity tags are the same across verticals. A FAIL is a clause that materially shifts risk or cost to you with no realistic mitigation in the standard form. A WATCH is a clause that warrants attention or negotiation but is not unusual for the segment.
- ▸A law firm. We do not represent you, do not establish privilege, and cannot draft amendments.
- ▸Tax, financial, or investment advice. The numbers in the cost schedule are reproduced from the document, not modelled.
- ▸A replacement for counsel. The report is built to make the legal review faster and cheaper, not to skip it.
- ▸Affiliated with any franchisor, landlord, prime contractor, or other counterparty. No referral fees, no kickbacks, no advertising.
